1. Acceptance
By creating an AlgoEdge account, downloading the AlgoEdge app, or using any of our services, you agree to these Terms of Service. If you do not agree, do not use the service.
These Terms form a binding agreement between you and Algorithmic Edge ("AlgoEdge," "we," "us," "our"). We may update these Terms at any time. Continued use after updates means you accept the revised Terms.
2. Eligibility
You must be at least 18 years old and legally able to enter into a binding agreement under the laws of your jurisdiction. By using AlgoEdge you represent that you meet these requirements.
The service is intended for use in the United States. Access from other jurisdictions may be subject to local laws and is at your own risk.
3. What AlgoEdge Is — and Is Not
AlgoEdge is a software platform that enables users to connect their own third-party brokerage accounts (such as Alpaca Markets) and run algorithmic trading strategies against those accounts.
During the current beta, AlgoEdge operates in paper trading mode only. No real money is at risk. You connect a paper Alpaca account, and any trades placed by our bots execute against that paper account.
AlgoEdge is NOT:
- A registered broker-dealer
- A registered investment adviser
- A futures commission merchant
- A financial advisor
- A custodian of your funds or securities
AlgoEdge is not registered with the U.S. Securities and Exchange Commission, the Financial Industry Regulatory Authority, the Commodity Futures Trading Commission, or any state securities regulator. We do not hold your money, securities, or private keys. All trading activity occurs through your Alpaca account, governed by Alpaca's own terms.
4. Not Financial Advice
Nothing in the AlgoEdge service constitutes investment, financial, legal, tax, or accounting advice. The strategies, bots, signals, and analytics provided are for informational and educational purposes only.
The strategies offered through AlgoEdge are general in nature and impersonal. They are not tailored to any user's individual financial situation, investment objectives, risk tolerance, or tax position.
Trading involves substantial risk of loss and is not suitable for every investor. Past performance is not indicative of future results. You are solely responsible for your trading decisions and any resulting gains or losses. Consult a licensed financial professional before making investment decisions.
5. Your Account and Credentials
You are responsible for:
- Maintaining the confidentiality of your AlgoEdge login credentials
- Maintaining the confidentiality of any Alpaca API keys you provide
- All activity that occurs under your account
- Notifying us immediately of any unauthorized access
You agree to provide accurate information when creating your account and to keep it updated. You may not create accounts on behalf of others without authorization.
6. Alpaca Integration
To use the trading features, you provide your own Alpaca API credentials. By doing so, you grant AlgoEdge permission to place trades, view account information, and manage positions in that Alpaca account on your behalf.
You can revoke this access at any time by removing the credentials in Settings or by rotating the keys in your Alpaca dashboard. Your relationship with Alpaca is governed by Alpaca's own terms. We are not responsible for Alpaca outages, errors, fees, account restrictions, or policy changes.
7. Service Availability
We provide AlgoEdge on an "as is" and "as available" basis. We do not guarantee uninterrupted access, error-free operation, or that any defects will be corrected.
Trading bots run on cloud infrastructure that may experience downtime, network issues, or maintenance windows. During such periods, automated trades, stop-loss orders, or position monitoring may not function as expected.
For stock positions, we attempt to place server-side trailing stop orders on Alpaca so that protective exits remain active even if our service is offline. For cryptocurrency positions, Alpaca does not support server-side stop orders, and stop-loss logic runs only when our bots are online.
8. Risk of Loss
Trading securities and digital assets carries substantial risk, including the risk of total loss. You acknowledge:
- You may lose money using AlgoEdge
- Algorithmic strategies do not guarantee profits
- Market conditions, slippage, fees, and execution latency affect outcomes
- Historical or simulated performance does not predict future results
During the paper trading beta, no real money is at risk. However, once live trading is enabled in future versions, the risks above fully apply.
9. Prohibited Conduct
You agree not to:
- Use AlgoEdge for any illegal purpose
- Attempt to reverse engineer, decompile, or bypass any technical measures
- Use the service to manipulate markets, engage in wash trading, or violate any securities laws
- Access accounts or data belonging to other users
- Use automated scripts to abuse our API or rate limits
10. Intellectual Property
AlgoEdge, including its software, branding, and content, is our property or that of our licensors. You receive a limited, revocable, non-transferable license to use the service for personal, non-commercial purposes.
11. Termination
We may suspend or terminate your access at any time, with or without notice, for any reason — including violation of these Terms.
You may delete your account at any time by contacting us. Deletion of your AlgoEdge account does not affect your underlying Alpaca account.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ALGOEDGE AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to indemnify and hold AlgoEdge harmless from any claims, damages, losses, or expenses arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.
15. Beta Service
AlgoEdge is currently offered as a beta product. Features, bots, strategies, and user data may be modified, suspended, or deleted at any time without prior notice or compensation. Beta participation does not entitle you to any service level commitment, uptime guarantee, data retention, or refund.
You agree that any data generated through your use of the beta — including trade history, bot toggles, and analytics — may be reset or deleted as the service evolves toward general availability.
16. Automated Trading Consent
By connecting your brokerage account and enabling any AlgoEdge bot, you authorize the platform to place orders in that brokerage account on your behalf, in accordance with the strategy parameters in effect at the time. Each individual order is initiated automatically by the platform's software without requiring further confirmation from you.
You acknowledge that automated trading systems may place orders at any hour the market is open, may take positions you did not specifically anticipate, and may exit positions in response to market movements or strategy signals.
You may revoke this authorization at any time by toggling the applicable bot off or by removing your brokerage credentials from the AlgoEdge platform.
17. Third-Party Data Sources
Certain AlgoEdge strategies, including the Capitol Trades bot, rely on data published by third parties such as the Capitol Trades disclosure platform. AlgoEdge does not control the accuracy, timeliness, completeness, or continued availability of any third-party data source.
Errors, delays, omissions, or changes in upstream data may cause AlgoEdge bots to execute trades that do not reflect actual public disclosures, or to fail to execute trades that they otherwise would have. AlgoEdge is not liable for losses, opportunity costs, or other consequences arising from third-party data issues.
18. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles.
19. Binding Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Agreement to Arbitrate
You and AlgoEdge agree that any dispute, claim, or controversy arising out of or relating to these Terms, the AlgoEdge service, or your use thereof (a "Dispute") shall be resolved by binding individual arbitration rather than in court, except that you may assert claims in small-claims court if your claims qualify.
Arbitration Rules and Forum
Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator. Arbitration shall take place in San Diego County, California, unless the parties agree otherwise. You may participate by telephone or video conference.
Class Action Waiver
YOU AND ALGOEDGE EACH AGREE THAT ANY DISPUTE WILL BE RESOLVED ON AN INDIVIDUAL BASIS. NEITHER PARTY MAY BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION, WHETHER IN COURT OR IN ARBITRATION.
Jury Trial Waiver
YOU AND ALGOEDGE EACH WAIVE THE RIGHT TO A TRIAL BY JURY for any dispute subject to this Section.
30-Day Opt-Out
You may opt out of this arbitration agreement by sending written notice to info@algoedge.pro within 30 days of first accepting these Terms. Your notice must include your name, the email address on your account, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other provision of these Terms.
Exceptions
This arbitration section does not apply to: (a) claims for injunctive or equitable relief to protect intellectual property rights; (b) claims that qualify for small-claims court in your jurisdiction; (c) claims that, by applicable law, cannot be arbitrated.
